By placing a wholesale order, requesting a quote, or otherwise accessing or using the services of Glass City Greenhouse (hereinafter “we,” “us,” or “our”), you agree to be bound by these Terms and Conditions. If you do not agree to these Terms and Conditions, please do not place an order or use our services.
2. Services Offered
We offer wholesale distribution services for premium, retail-ready Boston Ferns. This includes large-volume fulfillment, scheduled logistics, custom ordering, and quality assurance services related to the supply of live plant inventory.
3. Client Obligations
You agree to provide us with accurate and complete information, including company details, delivery addresses, and purchasing specifications, necessary to fulfill your wholesale orders efficiently. You are responsible for ensuring that your receiving facility is ready and capable of accepting the delivery of live plant material on the agreed-upon schedule.
4. Payment Terms
Payment for wholesale inventory and services rendered is due on the agreed-upon schedule as outlined in your Wholesale Account Agreement or Purchase Order. Failure to make timely payments may result in the suspension or termination of future order fulfillment and changes to payment terms.
5. Product Quality and Claims
We guarantee the Boston Fern inventory supplied is grown to maximize shelf-life and arrives in retail-ready condition. Any claims regarding product quantity, quality, or damage must be submitted to us in writing within forty-eight (48) hours of delivery. Our liability for any accepted claim is strictly limited to the replacement of the damaged product or a credit for the purchase price of the specific product in question.
6. Limitation of Liability
We are not liable for any indirect, incidental, consequential, or special damages, including lost profits or business interruption, arising from product defects, delivery delays, or the use of our wholesale inventory. Our liability is expressly limited to the amount paid by you for the specific inventory or service giving rise to the claim.
7. Governing Law
These Terms and Conditions shall be governed by and construed in accordance with the laws of the State of Ohio, United States of America, without regard to its conflict of law principles.
8. Changes to Terms
We reserve the right to modify these Terms and Conditions at any time. Any changes will be effective upon posting on our website and may be applied to future Purchase Orders.
